本《服务条款》（"本条款"）由 南京德睿信息技术有限公司（英文名：Nanjing Derui Information Technology Co., Ltd.，注册地：中华人民共和国，以下简称"我们"或"本公司"）制定，适用于您购买、下载、部署或使用 DeruiKnow 软件及相关服务（"本产品"）的行为。

1. 同意条款

您通过本网站下单购买或使用本产品，即表示您已阅读、理解并同意本条款，以及本网站的《隐私政策》与《退款政策》。若您代表企业购买，您声明已获授权使该企业受本条款约束。

2. 产品与服务

本产品为私有化部署的软件引擎及配套服务，包括：软件授权、配置模板、文档与 SOP，以及远程部署、1V1 指导与全流程验收服务（"服务"）。本产品部署于客户自备服务器，数据由客户本地留存。我们不提供上门部署，亦不交付前端页面定制、站点嵌入调试、图床或服务器网络/插件排错。

3. 订单与支付

  • 我们的订单与支付由 Paddle.com Market Ltd. 及其关联方（"Paddle"） 作为记录商户（Merchant of Record）处理。Paddle 负责处理付款、货币换算、税费计算与开票，并作为您购买交易的卖方。
  • 您通过 Paddle 提供的结账流程完成支付。适用的税费（如增值税/销售税）与最终结算货币由 Paddle 在结账时确定并显示。
  • 网站显示的价格以人民币（CNY）计价，仅作出价参考；以 Paddle 结账页面显示的金额为准。
  • 因支付、退款、货币或税费产生的争议，适用 Paddle 的买家条款；我们将在合理范围内协助处理。

4. 授权许可

  • 在您完成付款后，我们授予您一项非独占、不可转让、不可再许可的许可，在您的内部业务范围内使用所购版本的本产品。
  • 软件授权为一次性付费（针对所购版本），年度服务费为可选的按年订阅，用于持续支持、维护与新功能升级，可随时取消续费。
  • 未经书面许可，您不得：转售、分发、出租、再许可或向第三方提供本产品；对本产品进行反向工程（法律强制允许的除外）；移除或规避任何版本/权限控制。
  • 一套实例同一时间绑定 1 个自动发布站点；如需多站点，应购买相应数量的实例授权。
  • 本产品可能包含开源组件，该等组件适用其各自的许可条款。

5. 交付与验收

交付方式为全程远程部署、1V1 指导与全流程验收。付款成功后，我们将在合理时间内联系您预约部署。验收以《验收标准》所列系统引擎功能可用性为准；内容质量、SEO 排名、询盘转化等业务结果不纳入验收判定。

6. 客户责任

  • 提供并维护符合要求的服务器、网络与运行环境，并自备第三方模型（LLM/Embedding）接口与密钥。
  • 整理、录入并维护知识库素材，并对素材及对外输出内容的合法性与准确性负责。
  • 妥善保管系统密钥与账号，遵守适用法律，不得将本产品用于违法或侵权用途。

7. 知识产权

本产品（含软件、文档、SOP 及商标）的知识产权归本公司或相应权利人所有。您对自身录入的素材与生成内容保留所有权。本条款未明示授予的权利均予保留。

8. 第三方服务

本产品可能依赖第三方服务（如 Paddle 支付、Milvus 向量库、外部 LLM/Embedding 接口）。该等服务由其提供方独立运营并适用其条款，我们不对第三方服务的可用性、输出或政策变更负责。

9. 免责声明

除本条款明示外，本产品按"现状"提供。在法律允许的最大范围内，我们不对适销性、特定用途适用性及不侵权作出默示保证。我们不保证 AI 生成内容在任何搜索引擎的排名或商业结果。

10. 责任限制

在法律允许的最大范围内，对于因本产品引起的任何间接、附带、特殊或后果性损失，我们不承担责任；我们的累计责任总额不超过您在争议发生前十二（12）个月内就本产品实际支付的费用。

11. 退款

退款适用本网站《退款政策》及 Paddle 买家条款。请在购买前仔细阅读《退款政策》。

12. 终止

若您违反本条款，我们可暂停或终止您的许可与服务。年度服务到期未续费的，相关支持与升级权益自动终止，已购版本软件的许可在符合本条款的前提下继续有效。

13. 条款变更

我们可能不时更新本条款，更新后将在本页面公布并标注生效日期。重大变更将尽合理努力通知您。

14. 适用法律与争议解决

本条款适用中华人民共和国法律（不含冲突法规则）。因本条款引起的争议，双方应先友好协商；协商不成的，提交【待法务确认：约定管辖法院/仲裁机构】解决。

Terms of Service

These Terms of Service ("Terms") are provided by Nanjing Derui Information Technology Co., Ltd. (registration: People's Republic of China; "we", "us", "our") and govern your purchase, download, deployment and use of the DeruiKnow software and related services (the "Product").

1. Acceptance

By placing an order or using the Product through this website, you confirm that you have read, understood and agree to these Terms, our Privacy Policy and our Refund Policy. If you purchase on behalf of a company, you represent that you are authorised to bind that company.

2. Product and services

The Product is a self-hosted software engine with accompanying services: a software licence, configuration templates, documentation and SOP, plus remote deployment, 1-on-1 guidance and end-to-end acceptance (the "Services"). It is deployed on the customer's own server and data is retained locally. We do not provide on-site deployment, nor custom front-end pages, store-side embed debugging, image hosting, or server/plugin troubleshooting.

3. Orders and payment

  • Orders and payment are processed by Paddle.com Market Ltd. and its affiliates ("Paddle") acting as Merchant of Record. Paddle handles payment, currency conversion, tax calculation and invoicing, and is the seller of record for your purchase.
  • You complete payment through the checkout provided by Paddle. Applicable taxes (e.g. VAT/sales tax) and the final billing currency are determined and displayed by Paddle at checkout.
  • Prices shown on this website are listed in Chinese yuan (CNY) for reference only; the amount shown at Paddle checkout prevails.
  • Disputes relating to payment, refunds, currency or taxes are subject to Paddle's buyer terms; we will assist within reason.

4. Licence

  • Upon payment, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the purchased edition of the Product within your internal business operations.
  • The software licence is a one-time payment (for the purchased edition). The annual service fee is an optional yearly subscription for ongoing support, maintenance and new-feature upgrades, cancellable at any time.
  • Without written permission you may not resell, distribute, rent, sublicense or otherwise make the Product available to third parties; reverse engineer the Product (except as mandated by law); or remove or circumvent any version/permission controls.
  • One instance binds one auto-publish site at a time; multiple stores require the corresponding number of instance licences.
  • The Product may include open-source components governed by their respective licences.

5. Delivery and acceptance

Delivery is fully remote: remote deployment, 1-on-1 guidance and end-to-end acceptance. After payment we will contact you within a reasonable time to schedule deployment. Acceptance covers the engine functionality set out in the Acceptance Standard; content quality, SEO rankings and inquiry conversion are business outcomes and are outside acceptance.

6. Customer responsibilities

  • Provide and maintain a compliant server, network and runtime environment, and provide your own third-party model (LLM/Embedding) APIs and keys.
  • Prepare, enter and maintain knowledge material, and be responsible for its legality and accuracy and for externally published output.
  • Keep system keys and accounts secure, comply with applicable law, and not use the Product for unlawful or infringing purposes.

7. Intellectual property

Intellectual property in the Product (software, documentation, SOP, trademarks) belongs to us or the respective rights holders. You retain ownership of the material you enter and the content generated from it. All rights not expressly granted are reserved.

8. Third-party services

The Product may rely on third-party services (e.g. Paddle payments, Milvus vector DB, external LLM/Embedding APIs). Those services are operated independently under their own terms, and we are not responsible for their availability, output or policy changes.

9. Disclaimers

Except as expressly stated, the Product is provided "as is". To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee rankings or commercial results for AI-generated content on any search engine.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss arising from the Product; our aggregate liability will not exceed the amount you actually paid for the Product in the twelve (12) months preceding the event giving rise to the claim.

11. Refunds

Refunds are governed by our Refund Policy and Paddle's buyer terms. Please read the Refund Policy before purchasing.

12. Termination

We may suspend or terminate your licence and Services if you breach these Terms. If the annual service is not renewed, support and upgrade benefits end automatically while the licence for the purchased edition continues, subject to these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Updates will be posted on this page with an effective date, and we will use reasonable efforts to notify you of material changes.

14. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China (without regard to conflict-of-laws rules). Disputes should first be resolved through good-faith negotiation; if unresolved, they will be submitted to [To be confirmed: agreed court/arbitration venue].
